1. Confidential Information

• Includes client job descriptions, salary structures, candidate details, business strategies, and any non-public information shared by Karthikeya HR Services.

2. Obligations of Vendor

• Maintain confidentiality of all information received.
• Use confidential information strictly for fulfilling recruitment services.
• Not disclose or share information with competitors or third parties without written permission.

3. Exceptions

Confidentiality does not apply to information:

• Already in public domain
• Rightfully obtained without confidentiality obligation
• Disclosed as required by law

4. Term

• This NDA is valid during the engagement period and for 2 years post termination of vendor relationship. 

5. Consequences of Breach

Any breach of NDA may result in:

• Termination of vendor account.
• Legal proceedings for damages

6. Governing Law

• Governed by the laws of India with jurisdiction in Hyderabad, Telangana.
